Educational Sponsor Partnership Agreement

Agreement: The Education Sponsor agrees to contribute funds through the Social Enterprise's platform to support school fees and other Education Related fees for Learners. The Social Enterprise shall apply the funds directly to pay school fees and manage installment repayments from Parents/Guardians.

Nature of Sponsorship:

1. The Sponsor acknowledges that this is an education sponsorship arrangement, not a loan to the Parent/Guardian.
2. The Sponsor's agreement is with the Social Enterprise only, and all obligations to the Sponsor are guaranteed by the Social Enterprise.
3. Parents/Guardians have repayment obligations solely to the Social Enterprise, not to the Sponsor.

1. The Social Enterprise guarantees the Sponsor a fixed reward of 5% per month on the contributed amount.
2. Rewards shall be payable monthly and may be withdrawn in accordance with Clause 4.
3. The Social Enterprise shall honor Sponsor Rewards regardless of whether parents/guardians repay on time, using its Sponsors' Protection Fund (Education Impact Fund) to cover any shortfall.

1. The Sponsor may withdraw their contribution by giving the Social Enterprise 120 (One hundred and Twenty) days' written notice.
2. Upon expiry of the notice period, the Social Enterprise shall return the full principal contribution plus any rewards accrued up to the withdrawal date.

1. The Company shall maintain a dedicated Sponsors' Protection Fund to safeguard Sponsor contributions and guaranteed rewards.
2. In the event that parents or guardians default on repayments, the Social Enterprise shall draw from the Fund to compensate Sponsors in full and ensure continuity of guaranteed rewards.
3. The Company commits to replenishing the Fund from service fees, donations, grants, reserves, and other revenue streams to ensure sustainability.

Social Enterprise Obligations: Maintain the Protection Fund, provide periodic reports on fund use, and ensure transparency.

Sponsor Obligations: Provide accurate KYC information as required by law, respect the 120-day withdrawal timeline, and acknowledge that funds are managed by the Enterprise.

Duration: This Agreement remains valid until terminated by either Party with 120 days' written notice.

• Governing Law: Governed by the laws of Uganda. Disputes settled amicably, then referred to courts of law of Uganda.
• Amendments: All amendments must be in writing and signed by all Parties.
• Legal Fees: Borne by the Social Enterprise.
• Transparency: Detailed statements and impact summaries are shared periodically.
• Compliance: The organization reserves the right to verify the source of funds in compliance with anti-money laundering regulations.
